By accessing or using our Enterprise HRMS, Unified CRM, workflow automation platform, mobile applications, website, and associated cloud services (collectively, the “Services”), you agree to comply with and be bound by the following Terms and Conditions. Please read them carefully before using our services.
1. Acceptance of Terms
By accessing, subscribing to, or using our Services, you agree to these Terms and Conditions. If you are entering into these terms on behalf of a company, organization, or enterprise, you represent that you have the authority to bind such entity. If you do not agree with any part of these terms, you may not access or use our services.
2. Services Provided
Dissolvex provides an integrated, AI-native Enterprise HRMS, CRM, and intelligent automation suite, which includes:
- Enterprise HRMS & Payroll Suite: End-to-end employee lifecycle management, automated salary computations, statutory tax/PF/ESI compliance, geo-fenced attendance tracking, biometric device integration, shift scheduling, leave workflows, expense claims, and performance appraisals (OKRs).
- Unified CRM & Deal Pipeline: Lead capture, sales deal pipeline tracking, customer relationship history, omnichannel communication (WhatsApp, Email, Calls), customer support ticketing (HR & Client Helpdesk), and conversion analytics.
- Workflow Automation Builder: Drag-and-drop workflow engine to connect and automate tasks, triggers, approvals, and actions across HR, sales, and internal or third-party database systems.
- AI & Chatbot Automation (Drasti AI): Automated employee self-service assistance, HR policy query resolution, customer interaction bots, WhatsApp automations, and integrations with enterprise AI models (OpenAI, Ollama, etc.).
- Email & Communication Integration: Connect corporate email accounts (including Google Workspace, Microsoft 365, and Zoho Mail) to trigger automated HR alerts, offer letters, lead follow-ups, and payment notifications.
- Document & Invoice Generation: Templating engine to dynamically generate professional offer letters, employment contracts, NDAs, payslips, and white-labeled client invoices.
3. User Responsibilities & Employer Duties
You agree to use our Services responsibly and in compliance with all applicable labor laws, data protection regulations (DPDP Act, GDPR), and third-party platform policies. As an employer or business administrator, you acknowledge and agree that:
- Employee & Lead Consent: You are solely responsible for securing all requisite statutory consents and authorizations from your employees (for geo-tagging, biometric verification, and salary processing) and from CRM leads (for marketing communications and opt-in).
- Lawful & Ethical Use: You must not use our HRMS or CRM platform for any unlawful, discriminatory, fraudulent, or harassing purpose.
- Account Security: You are responsible for safeguarding admin and employee access credentials and maintaining role-based access controls within your organization.
- No Unauthorized Access or Scraping: You must not attempt to breach tenant isolation, access other organizations' HRMS/CRM data, or use automated scraping tools on the platform.
- Anti-Spam & Gateway Compliance: You must not send unsolicited mass communications or violate messaging limits via connected WhatsApp, SMS, or email gateways.
4. Service Availability & Maintenance
We strive to maintain a 99.9% uptime for all critical HRMS and CRM services. However, we do not guarantee uninterrupted access, and services may be momentarily suspended for scheduled maintenance, critical security patches, or emergency system updates. Notice for scheduled maintenance will be communicated in advance whenever feasible.
5. Third-Party Integrations & Gateways
Our platform connects with third-party providers (e.g., Google Workspace, Microsoft Office 365, Meta WhatsApp Business API, OpenAI, payment gateways, and banking disbursement APIs).
- You are solely responsible for complying with the terms and licensing requirements of those third-party providers.
- Dissolvex Technologies is not liable for service outages, rate limits, or account suspensions imposed by third-party providers on your connected accounts.
6. User Data, Employee Records & CRM Privacy
Data security and confidentiality are foundational to our platform. Detailed governance is outlined in our Data Security & Privacy Policy. Key data ownership terms include:
- Customer Data Ownership: You retain full, exclusive ownership of all employee records, biometric verification tokens, payroll computations, tax declarations, and CRM customer lead databases.
- Data Processor Role: Dissolvex Technologies acts strictly as a Data Processor, processing organizational data solely on your behalf and in accordance with your configurations and instructions.
- Tenant Isolation: All customer data is cryptographically isolated using strict multi-tenant database separation and AES-256 encryption at rest.
- Data Accuracy: You remain responsible for the legality, accuracy, and completeness of all data uploaded or calculated within the system.
7. Payment, Subscriptions, and Fees
Access to HRMS and CRM tiers requires an active recurring subscription or per-employee/per-user licensing as specified in our pricing plans. Payments must be made on time according to the billing schedule (monthly or annual). Failure to make timely payments may lead to service restrictions or account suspension after prior notification.
8. Confidentiality & Enterprise Data Protection
Both parties agree to maintain strict confidentiality regarding all sensitive or proprietary information exchanged during the use of our services. Confidential Information includes employee compensation records, personal identification data, CRM customer pipelines, sales figures, custom automation logic, and Dissolvex proprietary software architecture.
9. Limitation of Liability
To the fullest extent permitted by law, Dissolvex Technologies Private Limited will not be held liable for any direct, indirect, incidental, or consequential damages arising from your use of our services. This includes, but is not limited to, loss of profits, data corruption, network failure, or loss of business opportunities.
10. Indemnification
You agree to indemnify and hold harmless Dissolvex Technologies Private Limited and its affiliates, officers, and employees from any claims, damages, losses, liabilities, or expenses arising from your violation of these Terms and Conditions or misuse of our services.
11. Intellectual Property & Platform Ownership
All platform software, visual workflow editors, AI algorithms, system UI designs, trademarks, and branding provided through our Services are owned exclusively by Dissolvex Technologies Private Limited or its licensors. You agree not to copy, reverse engineer, distribute, or create derivative software based on our platform. Conversely, you retain all rights and intellectual property over your organization's employee records, CRM customer pipelines, and proprietary business workflows.
12. Termination
We reserve the right to suspend or terminate your access to our services at any time, without prior notice, if we believe you have violated these Terms and Conditions.
13. Modifications
We may update these Terms and Conditions from time to time. Any changes will be posted on this page, and the updated version will be effective immediately upon posting. It is your responsibility to review these terms periodically.
